1. Acceptance of Terms

Welcome to SakGenLa ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of our website, mobile applications, and services (collectively, the "Service") operated by Meuve Inc.

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access or use our Service.

These Terms apply to all users, including viewers, content creators, and administrators. Additional terms may apply to specific features or services.

2. Description of Service

SakGenLa is a content platform that enables users to:

  • Upload, share, and monetize content (videos, music, podcasts, movies, posts, reels, stories)
  • Discover and consume content from creators
  • Engage with content through comments, likes, and shares
  • Participate in live streaming with analytics, categories, and interactive features
  • Request automatic payouts via PayPal, Stripe, or bank transfers (US ACH via Plaid)
  • Access content analytics for posts, reels, stories, and live streams
  • Enjoy enhanced playback with smooth transitions, fallback URLs, and quality optimization
  • Earn revenue from content through subscriptions, one-time payments, or ad revenue
  • Manage content analytics and payouts

3. Account Registration

3.1 Eligibility

To use our Service, you must:

  • Be at least 13 years of age (or the age of majority in your jurisdiction)
  • Have the legal capacity to enter into binding agreements
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials

3.2 Account Responsibilities

You are responsible for:

  • All activities that occur under your account
  • Maintaining the confidentiality of your password
  • Notifying us immediately of any unauthorized use
  • Ensuring your account information is accurate and up-to-date

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or for any other reason we deem necessary to protect our Service and users.

4. User Content

4.1 Content Ownership

You retain ownership of all content you upload to SakGenLa. However, by uploading content, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Host, store, and display your content on our platform
  • Distribute and promote your content to users
  • Use your content for platform features (thumbnails, previews, etc.)
  • Make your content available for download (if you enable downloads)

4.2 Content Requirements

You represent and warrant that:

  • You own or have the necessary rights to upload and license the content
  • Your content does not infringe on any third-party rights (copyright, trademark, privacy, etc.)
  • Your content complies with all applicable laws and regulations
  • Your content does not contain illegal, harmful, or offensive material

4.3 Prohibited Content

You may not upload content that:

  • Violates any law or regulation
  • Infringes on intellectual property rights
  • Contains hate speech, harassment, or discrimination
  • Is pornographic, sexually explicit, or contains nudity without appropriate context
  • Promotes violence, self-harm, or dangerous activities
  • Contains false or misleading information
  • Violates privacy rights of others
  • Contains spam, scams, or fraudulent content
  • Interferes with or disrupts the Service

4.4 Content Moderation

We reserve the right to review, moderate, remove, or restrict access to any content that violates these Terms or our Community Guidelines. We may do so without prior notice.

5. Intellectual Property Rights

5.1 Platform Rights

The Service, including its design, features, and functionality, is owned by Meuve Inc. and protected by copyright, trademark, and other intellectual property laws.

5.2 Copyright Protection and DMCA

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe your copyright has been infringed, you may submit a DMCA takedown request to our designated agent (contact legal@sakgenla.co). The request must include the information required by the DMCA (identification of the work, of the infringing material, your contact details, good-faith statement, and accuracy statement under penalty of perjury).

If you believe your content was removed or disabled as a result of mistake or misidentification, you may submit a counter-notice that complies with the DMCA. We may forward the counter-notice to the original complainant. If we do not receive notice of a court action seeking to restrain you from re-posting the content within the period specified by law, we may restore the content. Submitting a false counter-notice may result in legal liability.

5.3 Copyright Information

Content creators are encouraged to provide accurate copyright and licensing information when uploading content. This helps protect creators' rights and ensures proper attribution.

6. Monetization and Payments

6.1 Content Monetization

Creators can monetize their content through:

  • Free: Content available to all users at no cost
  • Subscription: Content available to subscribers only
  • One-Time Payment: Content available after a single purchase

6.2 Payment Processing

Payments are processed through third-party payment processors (Stripe, PayPal, Plaid for US bank transfers). You agree to their terms and conditions when making or receiving payments.

6.2.1 Automatic Payouts

Creators can request automatic payouts via PayPal, Stripe, or bank transfers. Automatic payouts are processed when eligible (minimum balance, monthly payout date restrictions may apply). Payouts may be subject to retry logic if processing fails. Bank transfers via Plaid are available for US accounts only (ACH transfers). International bank transfers are not supported through Plaid.

Processing times vary by payment method:

  • PayPal: typically instant to 24 hours
  • Stripe: 2-7 business days
  • Bank transfers: 3-5 business days

Failed payouts may be automatically retried up to 3 times. You will receive notifications regarding payout status (success or failure).

6.3 Creator Earnings

Creators earn revenue based on their monetization settings. Earnings are calculated and displayed in your analytics dashboard. Payouts are subject to:

  • Minimum payout thresholds
  • Payment processing fees
  • Tax reporting requirements
  • Verification of payment information

6.4 Refunds

Refund policies vary by content type and creator. One-time purchases may be eligible for refunds within a specified period. Subscription refunds are handled on a case-by-case basis.

6.5 Tax Obligations

Creators are responsible for reporting and paying taxes on their earnings. We may collect tax information as required by law and provide tax documents when necessary.

6.6 Subscription Billing and Renewal

Creator subscriptions may renew automatically at the end of each billing period (e.g., monthly or annually) unless you cancel before the renewal date. You may cancel at any time through your account settings; cancellation will take effect at the end of the current billing period. We may change subscription prices with reasonable notice (e.g., by email or in-app notice); continued use after the change constitutes acceptance. Unless required by applicable law, we do not provide refunds for the current billing period when you cancel, or for partial periods.

7. User Conduct

You agree not to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights
  • Harass, abuse, or harm other users
  • Impersonate others or provide false information
  • Interfere with or disrupt the Service
  • Attempt to gain unauthorized access to accounts or systems
  • Use automated systems to access the Service without permission
  • Engage in fraudulent or deceptive practices
  • Spam or send unsolicited communications
  • Collect or harvest user information without consent

8. Live Streaming

Our Service includes live streaming features. When using live streaming:

  • You are responsible for all content broadcast during your stream
  • You must comply with all applicable laws and regulations
  • You may not stream prohibited content (as outlined in Section 4.3)
  • We reserve the right to terminate streams that violate these Terms
  • Live streams are automatically monitored and may be ended if inactive for extended periods (2+ hours) or running longer than 24 hours
  • Stream analytics are available to stream creators (duration, viewers, engagement metrics)
  • Streams may be categorized for better discoverability
  • Viewer interactions (chat, gifts, etc.) are subject to moderation
  • You may be held liable for content that violates third-party rights

8.1 Live Streaming Regulations and Compliance

IMPORTANT: All live streams must comply with applicable laws and regulations, including but not limited to:

  • Age Restrictions: Content creators must be at least 18 years old to host live streams. Viewers must be at least 13 years old to watch streams.
  • Content Restrictions: Prohibited content includes but is not limited to: explicit sexual content, violence, hate speech, harassment, illegal activities, copyright infringement, and content that violates community guidelines.
  • Privacy and Consent: You must obtain consent from all individuals appearing in your stream. Do not stream private conversations or content without explicit permission.
  • Intellectual Property: You may not stream copyrighted material (music, videos, images) without proper licensing or authorization.
  • Commercial Use: Commercial streams (advertisements, sponsored content) must be clearly disclosed to viewers.
  • Recording and Distribution: Live streams may be recorded by the platform for moderation, analytics, and legal compliance purposes. Recordings may be retained for up to 90 days.
  • Moderation: We reserve the right to monitor, moderate, and terminate streams that violate these Terms or applicable laws. Automated and manual moderation systems are in place.
  • Reporting: Users can report streams that violate these Terms. Reported streams will be reviewed and may be terminated immediately if violations are confirmed.
  • Legal Liability: Streamers are solely responsible for all content broadcast during their streams. Meuve Inc. is not liable for any legal consequences arising from stream content.
  • Geographic Restrictions: Some content may be restricted in certain jurisdictions. Streamers are responsible for ensuring compliance with local laws.
  • Data Collection: During live streams, we may collect viewer data (viewer count, engagement metrics, chat messages) for analytics and moderation purposes, as outlined in our Privacy Policy.

8.2 Platform-Specific Live Streaming Rules

  • Stream Duration: Streams may not exceed 24 hours in duration. Streams inactive for more than 2 hours may be automatically terminated.
  • Stream Quality: We support multiple quality levels (auto, 1080p, 720p, 480p). Quality may be automatically adjusted based on network conditions.
  • Participant Management: Stream hosts can manage participants, including accepting/denying join requests and removing participants who violate guidelines.
  • Gifts and Virtual Items: Virtual gifts sent during streams are subject to our Virtual Items Policy. Revenue from gifts may be shared as follows: a portion to the streamer, a portion to the platform/admin, and a platform fee. Specific percentages may be set in the product or in separate creator agreements.
  • Chat Moderation: Chat messages are subject to automated and manual moderation. Inappropriate messages may be removed, and users may be banned from chat.
  • Screen Sharing: Screen sharing during streams must comply with all content restrictions. Do not share private or copyrighted content without authorization.

8.3 Consequences of Violations

Violations of live streaming regulations may result in:

  • Immediate termination of the stream
  • Temporary or permanent suspension of live streaming privileges
  • Account suspension or termination
  • Legal action if violations involve illegal activities
  • Removal of monetization privileges
  • Reporting to law enforcement authorities when required by law

8.4 Content Analytics

Content creators have access to analytics for their posts, reels, stories, and live streams. Analytics data includes views, likes, comments, shares, and engagement rates. Analytics are provided for informational purposes and may be cached for performance optimization.

8.5 Events and Ticket Sales

SakGenLa may allow creators to create events and sell tickets. The following terms apply:

  • Platform fee: A platform fee of $1.50 (USD) per ticket is charged on each ticket sale. This fee is in addition to the ticket price set by the event organizer and is retained by the platform.
  • Payment: Ticket purchases are processed through our payment processors (e.g., Stripe). You must pay the total amount (ticket price × quantity + platform fee) at the time of purchase. All amounts are in the currency displayed at checkout.
  • Refunds: Refund eligibility and amounts are determined by the event organizer's policy and applicable law. Requests for refunds should be directed to the event organizer or to us as indicated at purchase. We are not obligated to issue refunds except as required by law or as stated in the refund policy disclosed at the time of purchase.
  • Disputes: Disputes about events (e.g., cancellation, quality, access) are primarily between you and the event organizer. We may facilitate communication or, where appropriate, refund the ticket price and/or platform fee in accordance with our policies, but we are not liable for the organizer's acts or omissions.
  • Eligibility: You must meet any age or other eligibility requirements stated for the event. Purchasing tickets for events you are not eligible to attend may result in denied entry without refund.
  • Event cancellation or changes: If an event is cancelled or materially changed by the organizer, the organizer's refund policy and our policies will apply. We do not guarantee that events will occur as described.
  • Tickets and verification: Tickets (including QR codes and verification codes) are for your personal use and may not be transferred or resold in violation of the organizer's terms or applicable law.

9. Privacy

Your privacy is important to us. Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

10. Disclaimers and Limitations of Liability

10.1 Service Availability

We strive to provide a reliable Service, but we do not guarantee that the Service will be available, uninterrupted, or error-free. We may modify, suspend, or discontinue any part of the Service at any time without prior notice. We are not liable for any losses or damages resulting from service interruptions, modifications, or discontinuations.

10.2 Content Disclaimer

IMPORTANT: We do not endorse, support, or guarantee the accuracy, completeness, or quality of user-generated content. You access and use content at your own risk. We are not responsible for:

  • The accuracy, legality, or appropriateness of user-generated content
  • Any harm or damage resulting from viewing, downloading, or interacting with user content
  • Copyright infringement or intellectual property violations by users
  • Defamatory, offensive, or illegal content posted by users
  • Loss of content due to technical failures, account termination, or platform changes

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MEUVE INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • ANY LOSS OF PROFITS, REVENUES, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • ANY DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE
  • ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR USE OF YOUR ACCOUNT OR DATA
  • ANY DAMAGES RESULTING FROM THIRD-PARTY SERVICES OR CONTENT
  • ANY DAMAGES RESULTING FROM VIRUSES, MALWARE, OR OTHER HARMFUL CODE

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

10.4 No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • WARRANTIES OF MERCHANTABILITY
  • WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
  • WARRANTIES OF NON-INFRINGEMENT
  • WARRANTIES OF ACCURACY, RELIABILITY, OR COMPLETENESS
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by law.

11. Indemnification

YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD HARMLESS MEUVE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS FROM AND AGAINST ANY AND ALL CLAIMS, LIABILITIES, DAMAGES, LOSSES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) ARISING OUT OF OR IN CONNECTION WITH:

  • Your use or misuse of the Service
  • Your violation of these Terms or any applicable laws or regulations
  • Your violation of any third-party rights, including intellectual property, privacy, or publicity rights
  • Content you upload, share, or transmit through the Service
  • Your interactions with other users
  • Your breach of any representations or warranties made in these Terms
  • Any claims brought by third parties against us arising from your use of the Service

This indemnification obligation will survive termination of your account and these Terms. We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate fully with us in asserting any available defenses.

12. Termination

12.1 Termination by You

You may terminate your account at any time by deleting your account through your account settings.

12.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if you:

  • Violate these Terms or our Community Guidelines
  • Engage in fraudulent or illegal activity
  • Infringe on intellectual property rights
  • Harm other users or the Service

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We may delete your account and content, subject to legal and operational retention requirements.

13. Dispute Resolution and Legal Protections

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Meuve Inc. is incorporated, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the courts of that jurisdiction.

13.2 Mandatory Binding Arbitration

IMPORTANT: YOU AGREE THAT ANY DISPUTE, CONTROVERSY, OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE, OR YOUR USE OF THE SERVICE SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING ARBITRATION, RATHER THAN IN COURT.

The arbitration will be conducted in accordance with the rules of a recognized arbitration organization (such as the American Arbitration Association) in the jurisdiction where Meuve Inc. is incorporated. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court having jurisdiction.

  • You waive your right to a trial by jury
  • You waive your right to participate in a class action lawsuit
  • Arbitration will be conducted on an individual basis only
  • You are responsible for your own arbitration costs and attorneys' fees, unless otherwise required by law

13.3 Class Action and Jury Trial Waiver

YOU EXPRESSLY WAIVE YOUR RIGHT TO:

  • Participate in a class action lawsuit or class-wide arbitration
  • Act as a representative in a class action or representative proceeding
  • Join or consolidate claims with other users
  • A trial by jury in any legal proceeding

If this class action waiver is found to be unenforceable, then the entire arbitration agreement will be null and void, but the rest of these Terms will remain in effect.

13.4 Exceptions to Arbitration

The following claims are not subject to arbitration and may be brought in court:

  • Claims for injunctive or equitable relief
  • Small claims court actions (if applicable)
  • Intellectual property disputes (copyright, trademark, etc.)

13.5 Statute of Limitations

You agree that any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page
  • Updating the "Last updated" date
  • Sending you a notification (for significant changes)

Your continued use of the Service after changes become effective constitutes acceptance of those changes. If you do not agree to the changes, you must stop using the Service and delete your account.

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

15.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

16. Additional Legal Protections

16.1 Force Majeure

We shall not be liable for any failure or delay in performance under these Terms due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet failures, or other force majeure events.

16.2 No Third-Party Beneficiaries

These Terms are for the benefit of you and Meuve Inc. only. No third party has any rights under these Terms.

16.3 Export Restrictions

You agree to comply with all applicable export and import laws and regulations. You may not use the Service in any country or region where such use is prohibited by law.

16.4 Survival

The following sections will survive termination of these Terms: Sections 4 (User Content), 5 (Intellectual Property), 10 (Disclaimers and Limitations of Liability), 11 (Indemnification), 13 (Dispute Resolution), and 16 (Additional Legal Protections).
